1. Independent-contractor relationship
Providers are independent contractors, not employees, agents, or partners of the Platform. Providers control their own schedules, methods, equipment, and whether to accept any lead. Nothing in this agreement creates an employment relationship, and Providers are responsible for their own taxes.
2. Eligibility and verification
Providers must hold a valid, unexpired Texas notary commission and keep their commission number, expiration date, contact details, service area, screening status, and insurance status current. The Platform may verify commissions with the Texas Secretary of State and may suspend Providers whose commission has expired or whose information cannot be verified. Expired, suspended, rejected, or incomplete Providers cannot accept leads.
3. Platform commission and payouts
- The Platform retains a commission — currently 20% — calculated on eligible service revenue from completed bookings (travel, urgency, after-hours, access, witness, waiting, printing, and similar service charges).
- Statutory notarial-act fees under Tex. Gov’t Code §406.024 are not commissionable and pass to the Provider in full. Tips, taxes, and reimbursed pass-through costs (parking, tolls) are also not commissionable.
- Compensation and the platform fee for each lead are displayed before acceptance. Accepting a lead constitutes acceptance of the displayed terms for that booking.
- Payouts are made through the Provider’s completed payout account (Stripe Connect) after the appointment is marked complete, less the platform commission and any adjustments, on the payout schedule published in the Provider dashboard or by email.
4. Refunds, chargebacks, cancellations, and no-shows
If a customer is refunded, the related payout (or the refunded portion) is not owed, or may be offset against future payouts if already paid. Chargebacks are handled the same way pending resolution. Customer no-shows are compensated per the published no-show terms shown with the lead. Provider cancellations after acceptance must be reported immediately; repeated or late Provider cancellations may result in suspension.
5. Professional conduct and compliance
Providers must perform all notarial acts personally and lawfully, maintain their own journal, seal, supplies, and records as required by Texas law, decline any act they cannot lawfully perform, and never provide legal advice, select certificates for customers, or prepare documents unless separately licensed to do so. Providers are solely responsible for their legal compliance, insurance, travel, and professional conduct.
6. Confidentiality and customer data
Customer names, addresses, phone numbers, and documents are confidential. Providers may use customer information only to perform the accepted appointment, must protect it from disclosure, must not solicit Platform customers off-platform for the same request, and must delete or secure customer contact details when no longer required by law.
7. Prohibited behavior
Including but not limited to: misrepresenting fees as government-mandated; charging the customer amounts not disclosed in the confirmed booking; harassment or discrimination; appearing impaired; sharing leads or credentials with others; falsifying completion or credentials.
8. Suspension, termination, and disputes
Either party may end participation at any time. The Platform may suspend or terminate Providers for breach, expired commissions, verification failures, customer-safety concerns, or repeated reliability problems, and will state the reason. Completed, unpaid appointments are still paid out unless subject to refund, chargeback, or fraud review. Disputes are first handled through the Platform’s support process.
9. No guarantee of volume
The Platform does not guarantee any number of leads, acceptances, or earnings.
